Terms of Service

Welcome to the Terms of Use for JpBay (referred to as “Terms of Use”). These terms and conditions outline the rules and regulations for using “the Service” and establish the rights and responsibilities between AOS WAY LLC (referred to as “JpBay”) and all individuals, including Members and other users (referred to as “Users”) who access and use the JpBay website.

To use the Service, Users must carefully read and agree to these Terms of Use. By using the Service, Users are deemed to have accepted the Terms of Use. Users who are minors or lack the legal capacity to enter into contracts must obtain the consent of their guardian or legal representative before using the Service.

Cardholder must retain a copy of transaction records and https://jpbay.com policies and rules.

United Arab of Emirates is our country of domicile and stipulate that the governing law is the local law. All disputes arising in connection therewith shall be heard only by a court of competent jurisdiction in U.A.E.

Article 1: Application

This article applies to any relationship between Users and JpBay that relates to the use of the Service. The purpose of this article is to establish the terms and conditions for using the Service and to define the rights and responsibilities of both JpBay and Users.

If JpBay publishes any other terms, guidelines, or rules (collectively referred to as “Guidelines”) related to the use of the Service, those Guidelines shall be considered part of these Terms of Use. In the event of any inconsistency or conflict between these Terms of Use and the Guidelines, the Guidelines shall prevail.

Article 2: Definitions

For the purpose of these Terms of Use, the following terms have the meanings defined as follows:

“AOS WAY LLC” maintains the https://jpbay.com Website ("Site").

“JpBay” means the website operated by JpBay whose domain is “JpBay.” (including the modified website if the domain or the content of JpBay needs modifying);

“Member” means a natural person (with civil legal capacity) who has registered as a User of the Service in accordance with Article 3;

“Transaction” means each act such as ordering conducted by a User by using JpBay;

“Merchant” means a corporation that sells commodities by using JpBay;

“User Information” means personal and private information and the transaction history disclosed to JpBay by Users.

Article 3: Registration

A natural person wishing to register as a Member (hereinafter referred to as “Registrant”) may apply to register to use the Service by consenting to comply with Terms of Use and providing certain information (hereinafter referred to as “Registration Information”) in a certain way stipulated by JpBay.

JpBay will, in accordance with its criteria, judge whether to accept a registration or not and will notify the Registrant that has been accepted. Registration is completed as soon as JpBay conducts the notification.

JpBay may refuse the relevant registration or re-registration of a Registrant if:

all or some of the Registration Information submitted by the Registrant to JpBay is false or incomplete;

the Registrant is a minor or lacks civil legal capacity and fails to obtain the consent of the Registrant’s guardian or legal representative when using the Service;

Customer using the website who are minor / under the age of 18 shall not register as a User of the website and shall not transact on or use the website;

by JpBay’s judgment, the Registrant (a) belongs to an anti-social force (means an organized crime group, an organized crime group member, or any other equivalent entities, hereinafter has the same definition) or (b) interacts or participates in any method with and in an anti-social force, such as by cooperating with it or contributing to the maintenance, operation, or management of an anti-social force by some ways such as financing;

by JpBay’s judgment, the Registrant once breached Guidelines or Terms of Use in the past or is connected with the entity that breached Guidelines or Terms of Use;

other situations and circumstances judged by JpBay that are not suitable for registration.

Article 4: Change of Registration Information

If a Member's registration information changes, they must promptly update it using the method specified by JpBay. JpBay is not responsible for any damages resulting from a Member's failure to update their registration information. Transactions made prior to a change in registration information will continue to be based on the previous information. If necessary, Members must contact Merchants directly to notify them of any changes to their registration information.

Article 5: Management of User ID and Password

Each Member is responsible for properly managing and safeguarding their User ID and password. Members must not allow any third party to use their User ID and password, nor may they lend, transfer, change, or trade their User ID and password. Any actions taken by a Member using their User ID and password will be attributed to the Member. Members are responsible for any damages resulting from inadequate management or misuse of their User ID and password, or if their User ID and password is used by a third party for any reason. JpBay is not liable for any damages resulting from such incidents.

Article 6: Prohibited Acts

When using the Service, Users must not engage in the following acts. JpBay will determine if a User has engaged in any of these acts based on its own criteria.

Acts that violate laws and regulations or are related to crime;

Acts that offend or may offend social order and/or good morals;

Acts that infringe or may infringe upon intellectual property rights, rights to privacy, or other rights;

Acts that excessively burden the network or system of the Service;

Acts that may hinder the operation of the Service;

Wrongfully accessing or attempting to wrongfully access the network or system of JpBay;

Posting image files with malicious intent to rewrite JpBay's code is forbidden and will be dealt with appropriately.

Impersonating JpBay or a third party or intentionally spreading false information;

Using the User ID and password of other Users of the Service;

Using the Service for a purpose that differs from the intended purpose of the Service;

Collecting, disclosing, or providing a third party's personal information, Registration Information, or using history information without prior consent;

Providing benefits to an anti-social force or engaging in any other acts of cooperating with an anti-social force;

Directly or indirectly causing or facilitating the acts prohibited herein;

Other acts judged by JpBay to be inappropriate and improper.

Article 7: Indemnification

If a user violates any laws, regulations, or the Terms of Use and causes JpBay to suffer any damages, losses, or expenses (including attorney fees) or if JpBay receives a complaint or claim from a third party, the user shall immediately indemnify JpBay.

Article 8: Suspension of Service

JpBay may suspend or interrupt all or part of the Service without notifying users in advance in the following situations: (1) when the network system of the Service needs inspection or maintenance, (2) when computers or communication lines are disrupted by an accident, (3) when it becomes difficult or impossible to operate the Service due to an event of force majeure, or (4) in other situations judged by JpBay that require suspension. JpBay is not liable for any damage that occurs to a user due to the measures taken pursuant to this article.

Article 9: Ownership of Rights

The copyrights relevant to the website and the Service belong to JpBay and the entity that has permitted JpBay to use the copyrights. The permission to use the Service pursuant to the Terms of Use does not convey any intention or manifestation of permission to use the copyrights mentioned above. The copyrights of reviews, comments, and other contents transmitted by users belong to the users, but the users permit JpBay to gratuitously and non-exclusively use the rights of copy, public transmission, distribution, translation, transfer, license, adaptation, publication, and any other copyright usages specified in the Copyright Act. The users waive all moral rights specified in the Copyright Act. The permission mentioned in this article is without condition of territory and limit of time.

Article 10: Deletion of Registration

If a Member violates the Terms of Use or Guidelines, provides false information in their Registration Information, does not use the Service for one year, fails to respond to inquiries from JpBay for more than a month, enters a wrong password a specified number of times, falls under any of the situations listed in 3.3, or if JpBay determines that it is inappropriate or improper for a Member to use the Service or register, JpBay may delete the Member's registration, interrupt all or part of the Service, or take other necessary measures without providing advance notice or demand. JpBay is not liable for any damage that occurs to a Member due to any act conducted by JpBay pursuant to this article.

Article 11: Cancellation of Subscription

A Member may cancel their use of the Service and withdraw their registration by notifying JpBay in the manner designated by JpBay. JpBay will deal with the Member's Registration Information after cancellation of subscription.

Article 12: Transactions

Each Transaction a User conducts with a Merchant through JpBay is a direct transaction between the User and the Merchant. JpBay is not a party to the Transaction and will not be responsible for it, unless JpBay participates in the Transaction as a Merchant. If any trouble occurs with a Transaction, the relevant User and Merchant must resolve the issue by agreement. A User must use credit card payment (VISA, MASTER), or PayPal settlement as a settlement for the Transaction with the Merchant through JpBay. If a User uses PayPal settlement, the legal right to receive payment for goods from the User is transferred to JpBay from the Merchant. Visa or MasterCard debit and credit cards in AED, USD, EUR will be accepted for payment. Once the payment is made, the confirmation notice will be sent to the client via email within 24 hours of receipt of payment.

Article 13: Modification and Termination of the Service

JpBay may modify or terminate the Service at its discretion. JpBay is not liable for any damage that occurs to a User due to the modification and termination prescribed in this article.

Article 14: Introduction and Price of Commodities

JpBay makes an effort to display and present the introduction and price of commodities correctly but bears no responsibility for the accuracy, completeness, newness, and reliability of the information presented.

Article 15: Disclaimer of Warranties and Limitation of Liability

Users are responsible for inquiring directly with Merchants about the commodities, services, Transactions, Merchant Information, and personal information. JpBay does not guarantee the authenticity, accuracy, reliability, legitimacy, or infringement of third-party rights regarding the information and details.

If the delivery destination is a foreign country or region, Users are responsible for understanding and complying with relevant laws and regulations regarding import and export issues, such as prohibition, limitation, taxes, purchasing, and transportation.

Members are responsible for their own transactions and JpBay and Merchants are not liable for any disputes arising due to authorities in other countries or regions or for any delay, non-delivery of transportation, or other damages caused by laws and regulations.

JpBay is not responsible for any damage due to system interruption, delay, discontinuation, loss of data, unauthorized access, or other issues when using the Service. JpBay does not guarantee that emails and contents from Web pages, server and domain of JpBay are virus-free and harmless.

While JpBay may provide Users with information and advice, it is not responsible for any damage caused by using that information and advice. JpBay is not liable for any damage caused by a User's breach of the Terms of Use and Guidelines.

Article 16: Confidentiality

Users are required to regard and treat unpublished information disclosed by JpBay as confidential information unless approved by JpBay in writing in advance.

Users are responsible for maintaining the confidentiality of their account

Article 17: Handling of User Information

JpBay will treat and handle User information according to its Privacy Policy. JpBay may, at its discretion, use and disclose information that cannot identify an individual, and Users shall not object to the use and disclosure.

Article 18: Amendment of Terms of Use

JpBay may modify or amend the Terms of Use anytime without advance notice and publish them on its website.

Article 19: Notice

Users shall contact JpBay in the manner specified by JpBay for inquiries related to the Service or any other contacts or notices.

Article 20: Assignment of Status as a Party

Users shall not assign, transfer, establish the security right, or conduct any other acts of disposition related to the status as a party of the relationship of the Service.

If JpBay transfers or cedes the Service to other entities, JpBay's status as a party of the relationship of the Service, rights and obligations, and User information specified in the Terms of Use will also be transferred and ceded. Users are deemed to have consented to the transfer and ceding.

Article 21: Access History

JpBay may accumulate and collect information about Users' IP address, identification number of mobile phones, and use history to analyze their access history and provide optimized services for other Users.

Article 22: Rejection of Anti-Social Forces

Users shall confirm that they are not and will not belong to an Anti-Social Force, such as an organized crime group or a member of such a group. Users shall not use Anti-Social Forces for their own or a third party's improper interests, harm a third party, or provide convenience or funds to Anti-Social Forces.

Users shall not use violence or conduct threatening behavior in connection with a Transaction or spread rumors, use fraudulent means, or use fraudulent force to damage another entity's credibility or reputation and obstruct that entity's business. Users are responsible for conducting any other acts equivalent to the listed items.

Article 23: Severability

If any part of these Terms of Use is found to be invalid or unenforceable under the Consumer Contract Act or any other laws or regulations, the remaining parts of the Terms of Use shall remain in full force and effect.

For certain users, if any part of the Terms of Use is found to be invalid or revoked, the Terms of Use will still be applicable to other users.
